Terms of Service

The terms and conditions governing your use of the ShieldBase platform.

1. Introduction & Acceptance

These Terms of Service ("Terms") govern your access to and use of the ShieldBase platform ("Service"), an AI-powered regulatory compliance solution operated by ShieldBase ("we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

The Service is intended for business use by organisations operating within the European Union and European Economic Area. By accepting these Terms, you represent that you have the authority to bind your organisation.

2. Definitions

  • "Organisation" — the legal entity that holds a ShieldBase subscription
  • "User" — any individual granted access to the Service under an Organisation's account
  • "Admin" — a User with administrative privileges to manage the Organisation's account
  • "Content" — any data, text, documents, or materials uploaded to or generated by the Service
  • "AI Output" — content generated by the Service's AI features
  • "Subscription Plan" — the tier of Service (Starter, Professional, or Business) selected by the Organisation

3. Service Description

ShieldBase provides:

  • AI-assisted compliance gap analysis against EU regulatory frameworks, starting with the NIS 2 Directive
  • Policy and procedure document generation with AI assistance
  • Risk assessment tools and compliance scoring
  • Incident reporting workflows aligned with Article 23 NIS 2 requirements
  • Multi-language support for EU member-state compliance
  • Role-based collaboration tools for compliance teams

4. AI-Generated Content Disclaimer

Important Notice

AI-generated content is provided as a starting point and does not constitute legal, regulatory, or professional advice. All AI Output must be reviewed, validated, and approved by qualified personnel within your organisation before being adopted or submitted to any authority.

ShieldBase does not guarantee the accuracy, completeness, or legal sufficiency of any AI Output. AI models may produce errors, omissions, or outdated information. Your organisation bears sole responsibility for:

  • Reviewing all AI-generated content before use
  • Ensuring compliance materials meet your specific regulatory obligations
  • Submitting accurate information to National Competent Authorities (NCAs)
  • Making final compliance decisions based on qualified professional judgement

5. Accounts & Access

To use the Service, an Organisation must create an account and designate at least one Admin. The Admin is responsible for:

  • Managing User invitations and role assignments
  • Ensuring Users comply with these Terms
  • Maintaining the security of account credentials
  • Removing Users who leave the Organisation or no longer require access

You must provide accurate and current information during registration. You are responsible for all activity under your account and must notify us immediately at [email protected] if you suspect unauthorised access.

6. Subscription & Payments

6.1 Plans & Billing

The Service is offered under three paid Subscription Plans: Starter, Professional, and Business. Subscriptions are billed monthly or annually in advance. All prices are quoted in Euros (€) and are exclusive of applicable VAT.

6.2 Payment Processing

Payments are processed securely through Stripe. We do not store full credit card details on our servers. By providing payment information, you authorise us to charge the applicable subscription fees.

6.3 Cancellation

You may cancel your subscription at any time through the platform or by contacting support. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

7. Intellectual Property

7.1 Your Content

You retain all intellectual property rights in Content you upload to the Service. By uploading Content, you grant us a limited licence to process, store, and display it solely for the purpose of providing the Service to your Organisation.

7.2 AI Output

AI Output generated through your use of the Service belongs to your Organisation, subject to the following:

  • AI Output may be similar to output generated for other users, as it is derived from the same underlying models and regulatory source material
  • We make no representation of exclusive ownership of AI Output
  • Regulatory text, directive content, and legal frameworks incorporated in AI Output remain in the public domain

7.3 Platform IP

The Service, including its software, design, algorithms, and documentation, is owned by ShieldBase and protected by intellectual property laws. Your subscription grants a non-exclusive, non-transferable licence to use the Service during the subscription term.

8. Data Protection

We process personal data in accordance with our Privacy Policy and the GDPR. Where we process personal data on your behalf as a data processor, the terms of our Data Processing Agreement (available on request) shall apply.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Attempt to reverse-engineer, decompile, or extract source code from the Service
  • Circumvent usage limits, security controls, or access restrictions
  • Share account credentials or transfer access to unauthorised parties
  • Upload malicious code, malware, or content that could harm the Service
  • Use the Service to generate content that is misleading, fraudulent, or intended to deceive regulatory authorities
  • Resell, sublicense, or redistribute the Service or its outputs without our prior written consent

10. Availability & Support

We target 99.9% uptime for the Service but do not guarantee uninterrupted availability. Scheduled maintenance windows will be communicated in advance. Support is provided via email and in-app channels during business hours (CET), with response times varying by Subscription Plan.

11. Limitation of Liability

To the maximum extent permitted by applicable law, ShieldBase's total aggregate liability for all claims arising from or related to the Service shall not exceed the total fees paid by your Organisation in the twelve (12) months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Regulatory fines or penalties imposed on your Organisation
  • Costs of substitute compliance services
  • Damages resulting from reliance on AI-generated content without proper human review

12. Indemnification

You agree to indemnify and hold harmless ShieldBase from any claims, losses, or damages (including legal fees) arising from:

  • Your use of the Service in violation of these Terms
  • Content you upload to the Service
  • Your Organisation's reliance on AI Output without adequate human review
  • Your Organisation's regulatory non-compliance

13. Termination

Either party may terminate the agreement by providing 30 days' written notice. We may suspend or terminate access immediately if:

  • You materially breach these Terms and fail to cure within 14 days of notice
  • You engage in activity that threatens the security or integrity of the Service
  • Required by law or regulatory order

Upon termination, your right to use the Service ceases. You may request an export of your Content within 30 days of termination. After this period, your data will be deleted in accordance with our data retention policies.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the European Union and the applicable national laws of the member state in which ShieldBase is established. Any disputes shall be submitted to the exclusive jurisdiction of the competent courts in that jurisdiction.

Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email and/or an in-app notification at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

If you do not agree with the updated Terms, you may terminate your subscription before the changes take effect.
